Provides legal advice to the Company based on analysis, experience, judgment and anticipated impact as is relevant to one or more assigned areas of responsibility.
Areas of Responsibility
· Provide legal advice to business clients, including management, on various midstream commercial matters including, but not limited to:
o Legal and business obligations related to commercial relationships with customers and other Commmercial counterparties;
o Evaluation of legal impacts affecting commercial opportunities;
o Contract matters related to natural gas gathering, processing and marketing;
o Contract matters related to natural gas liquids gathering, fractionation and marketing;
o Regulations pertaining to the natural gas and natural gas liquids business;
o Acquisition and divestiture of assets and entities;
o Formation and compliance with joint venture arrangements; and
o Formation and compliance with financing arrangements.
· Review, research, draft, prepare and/or negotiate agreements, documents and reports on matters including, but not limited to:
o Natural gas gathering, processing, sale and marketing;
o Natural gas liquids gathering, fractionation, storage, sale and marketing;
o Regulations pertaining to the natural gas and natural gas liquids businesses; and
o Corporate matters.
o Employee may be required to perform additional duties as assigned.
Essential Functions and Responsibilities
Provide legal advice to theCompany on issues related to its business activities.
Conduct legal research,analyze legal issues and interpret laws, regulations and rulings.
Prepare and/or review legaland corporate documents.
Interact with outsidecounsel and/or third parties.
Maintain confidentiality ofmatters and satisfy standards governing professionalresponsibility/ethics.
Manage the relationship ofattorney to client that encourages Company leaders to know when to contactthe legal department, foster free and open communication of issues, andrequest prompt involvement of the legal department in matters.
Regular and reliableattendance is required in performance of job.
Employee may be required toperform additional duties as assigned.

OutsideCounsel Relationships - Ability to work with outside counsel to achieve Companyresults. Responsible for management ofoutside counsel relationships for assigned area(s) of responsibility, includingreviewing and approving invoices and monitoring costs. Responsible for engagement recommendations toAssociate General Counsel and/or General Counsel for assigned area(s) ofresponsibility.
Planning,Organizing Skills - Manages and directs outside counsel, Attorneys, SeniorAttorneys and clients to achieve results consistent with expectations. Ability to organize and lead project teams(comprised of internal and/or external resources) focused on business area-wideinitiatives.
Influenceon Third Parties (outside counsel, opposing counsel, third partyrepresentatives, and governmental agencies as appropriate for assigned area(s)of responsibility) - Demonstrated ability to conduct and direct complexnegotiations for broad spectrum of matters for specific business areas.
WrittenCommunication Skills (clear, concise and effective written communications,including emails, business letters and legal memoranda) - Proficient forcomplex matters relating to business area responsibility. Ability to lead preparation of reports andpresentations to Company Vice-Presidents, senior management and Board, asappropriate.
OralCommunication Skills (effective one-on-one communications with outside counsel,and clients; conduct and participate in meetings; and prepare, conduct andparticipate in presentations to clients) - Proficient for complex mattersrelating to assigned area(s) of responsibility.Ability to lead effective meetings and presentations for clients,Company Vice-Presidents and senior management.Ability to effectively communicate on behalf of the Company to thirdparties.
Levelof Client Contact and Service - Routinely interacts with CompanyVice-Presidents and senior management.
Knowledgeof Company and/or Industry - Possess detailed working knowledge of clients’business area-specific operations for assigned area(s) of responsibility andgood working knowledge of Company-wide operations. Possess good working knowledge of clients’operations for employees under management.
StrategicPlanning and Process Improvement Ability - Identify, conceptualize, plan, andorganize initiatives for assigned area(s) of responsibility.

Experiencein use and function of office equipment including computers and applicablesoftware.
Demonstratedability to read and write fluently in English.
Education,Certification/Licensing and Experience
Bachelor’sDegree, Juris Doctorate (ABA accredited law school) and admitted to practice inOklahoma, or eligible to become admitted in Oklahoma, with current CLE compliance.
Eight(8) plus years relevant legal experience and/or expertise
Applicabledriver's license for travel to office locations, facilities, and governmentoffices.
- Mobilityto travel in and around office surroundings, plant facilities, and job sites.
- Sufficient to performjob duties.
